Resumé Jaap Winter

Jaap Winter (45) is partner at the law firm De Brauw Blackstone Westbroek in Amsterdam. His practice areas include M&A, corporate governance and corporate litigation. He is also Professor of International Company Law at the University of Amsterdam and fellow of the Duisenberg School of Finance in Amsterdam. He was visiting professor at Columbia Law School in New York in 2003.

Since 2001 Jaap has been actively engaged in shaping the corporate governance systems in Europe and the Netherlands. He was chairman of the High Level Group of Company Law Experts set up in 2001 by the European Commission to advise it on a modern regulatory framework for company law in Europe. The Group in January 2002 first advised on issues related to takeover bids. The final report of the Group on a Modern Regulatory Framework for Company Law in Europe was published on November 4, 2002, which includes extensive recommendations on corporate governance regulation in the EU. Jaap was a member of the Dutch Corporate Governance Committee, chaired by Morris Tabaksblat, that has drafted the Dutch Corporate Governance Code of December 2003.

He has chaired various committees that have issued corporate governance recommendations for specific sectors, among which the Committee on Modernisation of the Investment Fund Industry set up by the Dutch securities regulator AFM in 2004 and the Committee on Governance for Building Societies set up by the organisation of building societies in the Netherlands AEDES and the organisation of non-executive directors of building societies VTW in 2006.

Jaap received the 2004 International Corporate Governance Network Award from the International Corporate Governance Network. The ICGN said: “He is one of the most important voices in governance today. The European Commission’s Action Plan on corporate governance is based largely on Winter’s recommendations. In chairing the committees, Winter consulted widely and was able to outline meaningful, milestone but pragmatic suggestions for change.”

Jaap Winter is a member of the Supervisory Board of the Dutch securities regulator AFM.

Jaap Winter is married to Lokke Moerel and they have three children, Julius (13), August (11) and Fien (8).
